1. Acceptance of Terms

By accessing or using CleanHero ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service. These Terms constitute a legally binding agreement between you and CleanHero, Inc. ("CleanHero", "we", "us", or "our").

We reserve the right to update these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and, where required, by email. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.

2. Description of Service

CleanHero is a business management platform designed for residential and commercial cleaning companies. The Service includes scheduling and booking management, client relationship tools, invoicing and payment processing, AI-powered business insights, team management features, and a public-facing booking widget.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. User Accounts

To access most features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must notify us immediately at security@cleanhero.app of any unauthorized use of your account or any other security breach. We will not be liable for any loss or damage arising from your failure to comply with this section.

You may not use another person's account without permission. Accounts are non-transferable. We reserve the right to terminate accounts that violate these Terms or that have been inactive for more than 24 consecutive months.

4. Subscriptions & Billing

CleanHero offers subscription plans billed monthly or annually. By subscribing, you authorize us to charge your payment method on a recurring basis at the then-current subscription rate. All fees are in US dollars and are non-refundable except as expressly stated in our Refund Policy.

We may change subscription prices with 30 days' advance notice. If you do not cancel before the price change takes effect, your continued use of the Service constitutes acceptance of the new price. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.

Free trials, if offered, automatically convert to paid subscriptions at the end of the trial period unless you cancel before the trial ends. We reserve the right to modify or discontinue free trial offers at any time.

5. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service in any way that violates applicable local, state, national, or international law or regulation.

• Transmit any unsolicited or unauthorized advertising or promotional material (spam)
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Attempt to gain unauthorized access to any part of the Service or its related systems
• Use the Service to store or transmit malicious code, viruses, or other harmful software
• Scrape, crawl, or use automated means to access the Service without our express written permission
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to process data in violation of applicable privacy laws
• Resell, sublicense, or otherwise commercialize access to the Service without authorization

6. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of CleanHero, Inc. and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of CleanHero. You retain ownership of any content you submit to the Service, but you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content solely for the purpose of providing the Service.

7. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy.

You are responsible for ensuring that any personal data you upload or process through the Service complies with applicable data protection laws, including GDPR and CCPA. CleanHero acts as a data processor for data you input into the Service, and you act as the data controller.

8. Disclaimers & Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We do not warrant that the results obtained from using the Service will be accurate or reliable. Any content downloaded or otherwise obtained through the use of the Service is done at your own risk.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CLEANHERO, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL CLEANHERO'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO CLEANHERO IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

10. Indemnification

You agree to defend, indemnify, and hold harmless CleanHero and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

If you wish to terminate your account, you may do so by contacting us at support@cleanhero.app or through your account settings. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the Republic of Lithuania and the European Union, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation.

If negotiation fails, disputes shall be resolved through binding arbitration in Vilnius, Lithuania, under the rules of the Vilnius Court of Commercial Arbitration, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction. You waive any right to participate in a class-action lawsuit or class-wide arbitration.

13. General Provisions

These Terms constitute the entire agreement between you and CleanHero regarding the Service and supersede all prior agreements. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. The section titles in these Terms are for convenience only and have no legal or contractual effect.
